Good Call Or Bogus? N.E vs Carolina

When I first looked at the play that ended the Panther-Patriot game last night, I thought the call was correct and I still think there was no pass interference on the play.
But how in hell is that not a holding penalty and a 5 yard penalty against the Panthers and one play given to New England?
